1. Introduction and Acceptance of Terms

These Terms of Service (the “Terms”) form a legally binding agreement between you, the user, student, parent, guardian, or other person accessing or using the services, and MapleBridge Online Learning Inc. (“MapleBridge Online Learning Inc.”, “we”, “us”, “our”, or the “Company”), a business operating in Canada and providing online educational and study support services.

By accessing, browsing, registering for, booking, purchasing, or using any of our services, website, platform, communications, or related materials, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws. If you do not agree, you must not use our services.

If you are using the services on behalf of a minor or another person, you represent and warrant that you are the parent, legal guardian, or authorized representative and that you accept these Terms on their behalf.

2. Scope of Services

MapleBridge Online Learning Inc. provides online educational and academic support services, which may include, without limitation:

Services are delivered remotely through digital communication tools, online meeting platforms, email, or other methods selected by the Company. We may modify, suspend, or discontinue any service offering, feature, or delivery method at any time, subject to any applicable obligations already accepted for paid bookings.

We do not guarantee specific academic outcomes, grade improvements, admission results, test scores, or institutional decisions. Educational results depend on many factors outside our control, including learner effort, attendance, school policies, curriculum differences, and prior academic preparation.

3. User Obligations and Responsibilities

You agree to use the services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that all information you provide to us is true, accurate, current, and complete.

You agree that you will not:

You are responsible for:

We reserve the right to suspend or terminate services if we reasonably believe a user has violated these Terms or engaged in conduct that is unsafe, unlawful, disruptive, or abusive.

4. Payment Terms and Conditions

Fees, package prices, session rates, subscription charges, and any applicable taxes will be communicated to you before purchase or booking. Unless otherwise stated, all amounts are in Canadian dollars (CAD).

By purchasing services, you agree to pay all applicable fees in full and authorize us or our payment processor to charge your selected payment method. You are responsible for maintaining current and valid payment information.

Unless otherwise required by law or expressly stated in writing:

If you dispute a charge, you must contact us promptly at the contact details below before initiating a chargeback, so that we may attempt to resolve the matter in good faith. Unjustified chargebacks may result in account suspension and recovery of administrative fees to the extent permitted by law.

5. Cancellation and Refund Policy

Because our services involve reserved tutor time and scheduled live support, cancellations and refunds are subject to the following terms unless a different written policy is provided for a specific service package or required by applicable law:

We may cancel or reschedule sessions due to tutor illness, technical issues, safety concerns, or other operational reasons. In such cases, we will use reasonable efforts to provide a substitute session, alternative tutor, credit, or refund where appropriate.

Nothing in these Terms limits any mandatory consumer rights that may apply under applicable Canadian provincial or federal law.

6. Liability Limitations

To the fullest extent permitted by applicable law, MapleBridge Online Learning Inc., its directors, officers, employees, contractors, tutors, agents, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of opportunities, business interruption, or reputational harm, arising out of or related to the services or these Terms.

To the fullest extent permitted by law, our total aggregate liability for any claim arising from or related to the services shall not exceed the amount paid by you to MapleBridge Online Learning Inc. for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or such lesser amount as may be required by law.

We do not warrant that:

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, gross negligence where not excludable, or any consumer rights that cannot lawfully be waived.

7. Intellectual Property Rights

All content and materials provided by MapleBridge Online Learning Inc., including but not limited to lesson plans, worksheets, templates, guides, digital resources, videos, text, graphics, logos, trademarks, service marks, designs, and proprietary methodologies, are owned by or licensed to the Company and are protected by applicable intellectual property laws in Canada and elsewhere.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the materials solely for your personal, non-commercial educational purposes.

You may not, without prior written consent from the Company:

If you submit feedback, suggestions, or ideas to us, you grant us a worldwide, royalty-free, perpetual, irrevocable license to use such feedback for any lawful business purpose without compensation, unless otherwise prohibited by law.

8. Data Protection and Privacy

By using our services, you consent to our collection, use, disclosure, storage, and processing of personal information for purposes including:

We may use third-party service providers, including online learning, hosting, scheduling, analytics, and payment services, which may process personal information on our behalf and in accordance with their own terms and privacy practices.

Where required, we will seek appropriate consent for the collection or use of personal information from minors through a parent or legal guardian. You are responsible for ensuring you have the authority to provide personal information to us and to consent on behalf of any minor user, where applicable.

Although we take reasonable administrative, technical, and physical measures to protect personal information, no electronic transmission or storage method is completely secure. We cannot guarantee absolute security.

In such circumstances, we may suspend, reschedule, or modify services as reasonably necessary and will use reasonable efforts to restore service as soon as practicable.

10. Changes to Terms

We may update or revise these Terms from time to time to reflect changes in our services, business practices, technology, or legal requirements. The updated Terms will be posted on our website or otherwise communicated to users and will be effective from the date specified in the revised version.

Your continued use of the services after the effective date of any revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to them, the services, or your use of the services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Ontario, Canada, and you irrevocably submit to the personal jurisdiction and venue of those courts, except where applicable law requires otherwise.

Where possible, any invalid or unenforceable provision shall be interpreted in a manner that best reflects the original intent of the parties and is enforceable under applicable law.
